SEC Fines Zoe Financial $450,000 Over Undisclosed Referral Conflicts
The SEC fined Zoe Financial $450,000 for failing to fully disclose conflicts involving adviser referrals and its Zoe Wealth service.
What happened
The SEC said Zoe Financial’s salespeople often recommended advisers beyond those identified by its matching algorithm, while the company had a financial incentive for advisers to use its Zoe Wealth support service. The agency found Zoe failed to adequately disclose the resulting conflict until December 2024. Zoe agreed to a cease-and-desist order, censure and the penalty without admitting the findings.

The action reinforces that investment advisers must disclose material conflicts across referral and technology services, not just traditional portfolio advice.
